Proprietary Licensing Terms

Effective Date: April 2026 // System Architecture: ASL-1

1. Ownership Declaration

The software, source code, algorithms, and technical architecture known as ASL-1 Architecture (the “Software”) are the sole and exclusive intellectual property of Jack McDaniel (“Licensor”).

The Software is not a “work made for hire.” Ownership remains with the Licensor regardless of any contributions made by JFI Logistics, LLC or its members.

2. Grant of License

Licensor hereby grants to JFI Logistics, LLC (“Licensee”) a non-exclusive, non-transferable, and revocable license to use the Software solely for internal business operations and fleet risk auditing. This license does not grant Licensee the right to sub-license, sell, or modify the source code without express written consent from the Licensor.

3. Protection of Assets

All data processing, encryption protocols, and “Hardening” methodologies developed within ASL-1 remain proprietary. In the event of a change in control or dissolution of the Licensee (JFI Logistics, LLC), this license shall immediately terminate unless renegotiated with the Licensor.

4. Limitation of Liability

The Software is provided “as-is.” Licensor and Alydar Media shall not be held liable for regulatory fines, insurance adjustments, or operational losses incurred by the Licensee.
